1. Agreement to These Terms
These Terms of Service ("Terms") are a binding agreement between you and Client Wave Inc., a Wyoming corporation ("ClientWave," "we," "us," "our"). They govern your use of the website at https://clientwave.com and its pages (the "Site"), and any text messages you receive from us. By using the Site, booking a call, or opting in to text messages, you agree to these Terms. If you do not agree, do not use the Site.
If you use the Site on behalf of a company, you represent that you have authority to accept these Terms for that company.
2. Who May Use the Site
The Site is intended for business use by individuals who are at least 18 years old. By using the Site, you represent that you meet this requirement.
3. The ClientWave Platform and Paid Subscriptions
The ClientWave platform (the "Platform") is a software tool that enables customers to send, schedule and manage outreach activity on third-party platforms, including LinkedIn, at the customer's direction. Access to the Platform requires a paid subscription.
Paid subscriptions, including fees, billing, term, renewal, cancellation, data processing and service levels, are governed by the ClientWave Master Subscription Agreement and order form signed or accepted by the customer. If that agreement conflicts with these Terms, the signed agreement controls.
4. SMS Text Messaging
Program description. When you book a call with ClientWave through any of our booking pages and check the optional text message consent box, ClientWave will send you text messages about your booked call, including confirmations, reminders and rescheduling. Messages may be sent or answered by an AI assistant. Consent to receive text messages is not required to book a call.
Message frequency. Message frequency varies based on your booking.
Cost. Message and data rates may apply. Rates are set by your mobile carrier and plan.
Opting out. Reply STOP at any time to stop receiving messages. You can also reply END, CANCEL, UNSUBSCRIBE or QUIT. You will receive one final message confirming you have been unsubscribed, and ClientWave will send no further messages.
Help. Reply HELP for help, or email support@clientwave.com.
Carrier liability. Carriers are not liable for delayed or undelivered messages.
Privacy. Your information is handled under our Privacy Policy. We do not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.
5. Acceptable Use
You agree not to, and not to permit anyone else to:
- Use the Site or the Platform in violation of any applicable law, including laws governing electronic communications, outreach, data privacy, anti-spam and consumer protection;
- Attempt to gain unauthorized access to the Site, the Platform, or any related system, or interfere with or disrupt their operation;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms or structure of the Platform;
- Capture, reproduce, share or publish the Platform interface, workflows, prompts, sequences or methodologies, including by screenshots or screen recordings;
- Resell, sublicense, lease or provide access to the Platform to any third party without a separate written agreement with ClientWave;
- Enter ClientWave materials, prompts, sequences or Platform outputs into any third-party system or artificial intelligence tool that trains on or retains them, or use them to train, fine-tune or build any artificial intelligence model;
- Conduct or publish benchmarking, performance testing or comparative analysis of the Platform without our prior written consent; or
- Remove, obscure or alter any proprietary notices, trademarks or other legends on the Site or the Platform.
6. Platform Accounts
Platform access is limited to authorized users of a ClientWave customer. Each user must sign in individually, and shared, generic or group credentials are not permitted. You are responsible for all activity under your account and for keeping your sign-in details secure.
7. Intellectual Property
The Site and the Platform, including all software, code, algorithms, models, workflows, templates, prompts, sequences, methodologies, designs, text, graphics, logos and documentation, are owned by ClientWave and protected by intellectual property laws. Except for the limited right to view and use the Site for its intended purpose, nothing in these Terms grants you any right, title or license to them.
8. Feedback
If you send us feedback, suggestions or ideas about the Site or the Platform, you grant ClientWave a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without any obligation to you.
9. Third-Party Platforms and No Affiliation
The Platform connects to third-party platforms, including LinkedIn, that ClientWave does not control. Your use of any third-party platform is governed by that platform's own terms and policies, and you are responsible for complying with them. Third-party platforms may restrict, suspend or terminate accounts under their own policies, and ClientWave is not liable for any such action.
ClientWave is not affiliated with, endorsed by, sponsored by, or partnered with LinkedIn Corporation, Microsoft Corporation, or any other third-party platform provider. The Site may link to third-party websites, and we are not responsible for their content or practices.
10. Privacy
Our Privacy Policy explains how we collect, use and protect your information, and is part of these Terms.
11. No Guarantee of Results
Information on the Site, including any descriptions of results, is provided for general information only. ClientWave does not guarantee any particular result, including meetings scheduled, leads generated, connection acceptance rates, reply rates, pipeline or revenue. Results depend on factors outside our control, including targeting, message quality, offer strength, market conditions and your own sales process.
12. Disclaimer of Warranties
THE SITE AND ANY TEXT MESSAGES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. CLIENTWAVE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL OPERATE WITHOUT INTERRUPTION, DELAY OR ERROR.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CLIENTWAVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE OR ANY TEXT MESSAGES, WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, CLIENTWAVE'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID TO CLIENTWAVE DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW.
14. Indemnification
You agree to defend, indemnify and hold harmless ClientWave and its officers, directors, employees, agents, contractors, successors and assigns from any third-party claims, losses, liabilities, damages, costs and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the Site or the Platform; (b) any content you provide or send; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) your violation of any third-party platform's terms.
15. Suspension and Termination
We may suspend or end your access to the Site at any time, without notice, if we believe you have violated these Terms or that your use creates legal, regulatory or reputational risk for ClientWave. Sections 7 through 14 and 17 through 21 survive any termination.
16. Force Majeure
ClientWave is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, pandemics, government orders, or failures of telecommunications providers, hosting providers or third-party platforms.
17. Governing Law, Venue and Jury Waiver
These Terms, and any dispute arising out of or related to them or the Site, are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any action arising out of or related to these Terms must be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts.
EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE.
18. Attorney's Fees
In any action arising out of or related to these Terms, the prevailing party is entitled to recover its reasonable attorney fees, costs and expenses, including in any appeal or collection proceeding.

You represent that you are not located in, under the control of, or a national or resident of any country subject to United States embargo, and that you are not on any United States government list of prohibited or restricted parties.
20. Changes to These Terms
We may update these Terms from time to time. The "Last updated" date above shows when they were last changed. Your continued use of the Site after an update means you accept the updated Terms.
21. General
If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary, and the rest of these Terms will remain in effect. Our failure to enforce any provision is not a waiver of it. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of assets; you may not assign them without our prior written consent. These Terms, together with our Privacy Policy and any signed Master Subscription Agreement, are the entire agreement between you and ClientWave about the Site. Headings are for convenience only.
